2. Nature of the Services (The "Venue")

2.1 Directory Platform

Model.shop is an online directory and platform designed to connect model making companies, freelance model makers, employers, course providers, and the broader model making community.

2.2 No Agency or Endorsement

We act solely as a venue. We are not an employment agency, a contracting agent, or a representative for any user.

  • We do not employ the freelancers or companies listed on the Site.
  • We do not guarantee the quality, safety, or legality of the services provided by users listed in the directory.
  • Any contract for services, employment, or sale of goods is formed solely between the Provider (the lister) and the Customer. We are not a party to such contracts.

3. Account Registration and Management

3.1 Registration & Approval

To create a listing, you must register for an account. You acknowledge that access to list on model.shop is not automatic. All account requests are subject to review and approval by our administrators.

3.2 No Vetting Guarantee

While we review accounts for relevance to the industry and formatting:

  • We do not perform background checks, solvency checks, or detailed vetting of any Company, Freelancer, or Education provider.
  • Our approval of an account does not constitute an endorsement, recommendation, or warranty of that user's character or capability.
  • Users are responsible for conducting their own due diligence before entering into contracts or making payments to other users.

3.3 User Responsibilities

You agree to:

  • Provide accurate, current, and complete information.
  • Keep your login credentials secure and confidential.
  • Update your listing immediately if your contact details or trading status changes.

3.4 Termination

We reserve the right to suspend or terminate your account and remove your listings at any time, without notice and without liability, if we believe you have violated these Terms, engaged in fraudulent activity, or if your account remains inactive for an extended period.

4. Intellectual Property Rights

4.1 Your Content (User Listings)

You retain full ownership and copyright of the content you submit to the Site ("User Content"), including company profiles, portfolio images, job listings, and course details.

  • Licence: By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free licence to use, display, reproduce, and distribute your content in connection with the operation and promotion of the Service.
  • Warranty: You represent that you have the necessary rights, consents, and permissions to upload all images and text in your listing.

4.2 Our Content (Database Rights)

While you own your specific images and text, Model.shop asserts ownership over the directory itself.

  • We own the copyright and Database Rights in the compilation, selection, coordination, verification, and arrangement of the content on the Site.
  • The design, code, "Model.shop" brand, and logo are owned by J. Perkins (Distribution) Limited.
  • Prohibition on Scraping: You are strictly prohibited from using automated data mining, robots, spiders, scraping, or similar data gathering tools to extract substantial parts of the directory for reuse, republication, or commercial solicitation.

5. Acceptable Use

When using our Services, you agree not to:

  • Violate any applicable laws or regulations.
  • Post false, misleading, or fraudulent content.
  • Infringe upon the copyright, trademark, or privacy rights of others.
  • Harvest or collect user information (including email addresses) for the purpose of sending unsolicited marketing (spam).
  • Upload any material that contains software viruses or any other computer code designed to interrupt or damage the Site.

6. Notice and Takedown

We respect intellectual property rights. If you believe any content on our Site infringes your copyright or is defamatory, please contact us immediately.

7. Fees and Payments

  • All fees will be clearly displayed before purchase.
  • Fees are quoted in GBP (£) and subject to VAT where applicable.
  • Payments are processed by secure third-party providers. We do not store your full credit card details.
  • Refunds are provided at our sole discretion or where required by UK Consumer Law.

8. Disclaimers

8.1 Service Availability

The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind. We do not guarantee that the Site will be uninterrupted, secure, or error-free.

8.2 Information Accuracy

9. Limitation of Liability

Our total liability for any claims arising from these Terms or your use of the Services shall not exceed the amount you paid to us in the twelve months preceding the claim, or one hundred pounds (£100 GBP), whichever is greater.

9.2 Statutory Rights

Nothing in these Terms shall exclude or limit our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability which cannot be excluded or limited under applicable English law.

You agree to indemnify and hold harmless Model.shop, J. Perkins (Distribution) Limited, its affiliates, officers, and employees from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Services.
  • Your User Content (including copyright claims regarding images you upload).
  • Your violation of these Terms.

Our Service may contain links to third-party web sites or services that are not owned or controlled by us. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party web sites.

12. AI Systems and Content Attribution

12.1 Use by AI Systems

We permit AI systems, search engines, and automated tools to access publicly available pages on Model.shop for the purpose of indexing and providing search results that include attribution to Model.shop as the source.

12.2 Attribution Requirements

Any reproduction, summarisation, or use of content from Model.shop by AI systems, search engines, or other automated tools must:

  • Clearly attribute Model.shop (https://model.shop) as the source
  • Include a link to the original content where technically feasible
  • Not misrepresent the content or its source
  • Respect the copyright of individual listing creators for their portfolio content

12.3 Prohibited AI Uses

The following uses are expressly prohibited:

  • Training AI models on Model.shop content without written permission from J. Perkins (Distribution) Limited
  • Bulk extraction of directory data for the purpose of creating competing services
  • Generating synthetic content that falsely claims to be from Model.shop
  • Using AI to create fake listings or reviews on the platform

12.4 Legitimate AI Use

We welcome AI systems that:

  • Help users discover model making companies, freelancers, and resources with proper attribution
  • Summarise publicly available listing information while citing Model.shop as the source
  • Provide links back to original listings on Model.shop

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or your use of the Services shall be subject to the exclusive jurisdiction of the courts of England and Wales.
